A code of ethics is a formal set of guidelines issued by an organization to its workers and management, to help them conduct their actions in advancing corporate goals in accordance with its primary values and ethical standards.
A code of ethics is built in congruence with the organization's vision and goals, with the aim of minimizing risks of inappropriate conduct, clarifying what is appropriate conduct and developing a new organizational language. The ethical program may include regulators' demands in regard to enforcement and compliance programs, where the organization is required to offer training to employees on regulatory issues such as securities, corruption prevention, etc.
Human rights are fundamental rights to respect the liberties to which a person is inherently entitled, and are designed to protect people on social, regional and domestic levels in accordance with acceptable international treaties.
Corporations are expected to promote their interests without adversely affecting human rights. A corporation's social responsibility vis-à-vis the violation of human rights may be caused directly or indirectly. Apart from the moral failure in violating human rights, this also poses a business risk, with varied sources: from the risk involved in boycotting clients, rejecting clients, negative reputation, future regulation geared towards enforcing the rights, and until failure to comply with the organization's commitments due to events deriving from evading the subject, a fact that could also entail legal action.
